Contact person
Due to changes in the Estonian Commercial Code that came into force on 15.01.2018, any company whose management board is located outside Estonia must appoint a contact person to receive procedural documents, declarations of intent, and orders addressed to the company.
According to the Estonian Commercial Code, only certain qualified entities may act as a contact person: a notary, notary office, attorney, law firm, sworn auditor, auditing company, non-resident tax representative under the Taxation Act, or a trust and company service provider as defined in §8 of the Money Laundering and Terrorist Financing Prevention Act.
If this Commercial Code requirement is not met, the Commercial Register will issue a notice and set a deadline for compliance. This deadline cannot be shorter than one month or longer than three months. If a contact person is not appointed within the deadline, the company will be deleted from the register.
