Contact person
Due to the new changes in the Estonian Commercial Code, which came into force on 15.01.2018, any company whose board is located outside of Estonia is obliged to appoint a contact person to whom procedural documents and wills and orders intended for the company can be submitted.
According to the Estonian Commercial Code, only certain qualified entities may act as a contact person — a notary, notary office, attorney, law firm, sworn auditor, auditing company, non-resident tax representative under the Taxation Act, or a service provider of trusts and companies as defined in §8 of the Money Laundering and Terrorist Financing Prevention Act.
If this requirement of the Commercial Code is not fulfilled, the Commercial Register will issue a notice setting a deadline for compliance, which cannot be shorter than one month and not longer than three months. If a contact person is not appointed within this period, the company will be deleted from the register.
